Appointment of Director to Fill the Casual Vacancy 





The Chairman informed the Board that due to the death of MR. _______________, Director, there has been a casual vacancy in the Board of Directors of the Company and therefore MR. ___________________ be appointed as Director in order to fill the casual vacancy. In this connection the following resolutions were passed: 



"RESOLVED THAT pursuant to sec. 262 of the Companies Act, 1956, MR. _____________ be and is hereby appointed as Director of the Company in order to fill the casual vacancy caused by the death of MR. _______, a Director of the Company. 



RESOLVED FURTHER THAT the Board places on record the valuable services rendered by MR. ___________________ during his tenure as Director of the Company and expresses its deep sense of appreciation and gratitude for the same. 



RESOLVED FURTHER THAT MR._________________, Director be and is hereby authorised to file the necessary return with the Registrar of Companies, New Delhi."
