Under the instructions per on behalf of my clients, (give details, individual/firm/company/HUF etc. name, address) in reply to your notice dated ____________________, I hereby serve upon you the following notice: 

That as per clause --- of the contract entered into between you and my client on _____, relating to Supply of Goods you were supposed to do the following:

I hereby give you notice that the condition as above stated has not been fulfilled. My client has, however, elected in accepting goods and treating the breach of condition as a breach of warranty only. By reason of such breach of warranty my client has sustained damages to the extent of Rs. _______________, which is to be recovered from you. You are therefore requested to make the payment of the amount within _________ days failing which my client shall be constrained to take appropriate sections.
